Wilson Cribbs + Goren also represents clients, primarily non-profit organizations, who are finding housing solutions for low- and moderate-income families and seniors, including many aspects of the legal work needed for projects using tax credit programs administered by the Texas Department of Housing and Community Affairs. Experience

Represented national developer in the acquisition and development of more than nine Class A Self Storage Facilities across the country.
Represented regional lot developers in acquisition and development of large scale residential developments and subsequent lot sales to national and regional builders. Also handled ancillary commercial lot acquisitions and sales in said developments.
Represented retail end user on acquisition and development of several Houston area pad sites for use as specialized restaurant.
Represented owner in acquisition and development of a Panera Bread restaurant site and the subsequent resale of the site.
Represented a developer in the acquisition of property in Houston, Texas that was subject to residential deed restrictions. The property was on the opposite side of a commercial road of the residential neighborhood. Successfully led a deed restriction amendment campaign which removed the property from the residential restrictions so that it could be developed as commercial use. The property will be developed as a Class A shopping center.

Represented investor in acquisition of more than 10,000 acres of ranch land in Texas.

Represented client in acquisition of over 73,000 acres of farm and ranch property in various Texas counties.

Represented a Fortune 500 company in the disposition of its property in La Porte, Texas. The closing of the transaction was contingent on rezoning the tract from Business Industrial and General Commercial to a Planned Unit Development (PUD) which included single family residential. Successfully negotiated with the City and Buyer to obtain such rezoning and coordinated the closing of the transaction. The intended use of the tract is for a single family residential subdivision.

Represented regional developer in the acquisition, financing/refinancing, development, leasing, ground leasing, and sale of retail shopping centers.

Represented multiple developers in the project leasing of newly developed mixed-use projects.
Represented a purchaser in the acquisition of a shopping center in College Station, Texas. Led due diligence into title, survey and tenant leases. Drafted and negotiated new leases with prospective tenants (to be signed post-closing). Coordinated successful closing of transaction.
Represented national investor in the acquisition and financing of several Class A Multifamily Projects across Texas and Florida.

Represented a Houston non-profit corporation and related entities formed to own and construct an affordable multi-family housing development with a cost of over $7,600,000, in a recent conversion from construction financing to permanent financing, after originally representing them in many aspects of the project funded both by loans and by funds invested through success in receiving federal tax credits for the project.

Represented regional developer with assemblage of nine tracts (approximately 360 +/- acres) closing simultaneously with land cost more than $42,000,000 for the development of a Master Planned Community containing approximately 862 single family homes.
Represented nonprofit organization doing business  in Texas Medical Center in connection with negotiation of ground lease for construction of hospitality home and negotiation of construction contract with contractor.
Represented owner of 19,000 sq. ft. retail shopping center in connection with sale to limited partnership investor group.

Represented owner/developer of residential townhome project, including formation of Homeowners Association and preparation of Declaration of Covenants, Conditions and Restrictions.

Represented national pipeline company on multiple tract acquisitions and assemblage of tracts for pipeline use.
Ongoing representation of a national industrial corporation for all real estate leasing matters, including office, warehouse and industrial spaces.

Represent developers and property owners’ associations/homeowners' associations to advise and prepare restrictions, policies and guidelines regarding short-term rentals, such as Airbnb, VRBO or HomeAway, either prohibiting or permitting and regulating.

Represent multiple national and area real estate developers of residential communities in all phases of planning and development, including development and preparation of covenants, conditions, restrictions and easements, and consultation regarding and preparation of property owners’ association, homeowners’ association and condominium association formation and other  governing documents.

Represent developer of 10,000+ acre project in Harris and Fort Bend Counties as to planning, development and preparation of covenants, conditions, restrictions and easements for subdivisions to be managed and operated by Texas special purpose districts.

Represent multiple commercial real estate developers in project planning, development and documentation.
Represent investors/developers in planning and documentation as to subdivision re-developments, and condominium conversions, terminations and re-developments.
Represent developer in title investigation and examination and preparation of correction instruments, deeds and notices, and as to resulting property tax issues.

Represent multiple developers and property owners’ associations and condominium associations regarding drafting, amendment and adoption of governing documents, including restrictions, bylaws, policies and guidelines, and assessment collection, architectural control and other enforcement actions.

Representation of real estate private equity firm in connection with the negotiation of complex programmatic joint venture agreements for a variety of asset types across the country.
Representation of multiple start up real estate companies, serving as primary legal counsel and advisor in connection with the installation of critical legal infrastructure.
